1. Intellectual Property Rights

All content, materials, software, source code, object code, databases, documentation, designs, graphics, user interfaces, text, trademarks, service marks, logos, trade dress, and proprietary technology made available through VSI services (collectively, "Intellectual Property") are owned by or licensed to VSI.

Nothing in these Legal Terms grants any ownership rights in VSI's Intellectual Property. All rights not expressly granted are reserved. Unauthorized use may violate copyright, trademark, patent, trade secret, and other laws.

2. Trademarks

"VSI Technologies," the VSI logo, product names, service names, slogans, and related marks are trademarks or registered trademarks of VSI Technologies Inc. You may not:

• Use VSI trademarks without prior written permission
• Use confusingly similar marks
• Register domain names containing VSI trademarks
• Use VSI marks in advertising without authorization

All other trademarks appearing on VSI platforms are property of their respective owners.

3. Copyright Policy (DMCA)

VSI respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted material has been used improperly, submit a written notice including:

• Your contact information
• Description of the copyrighted work
• URL or location of allegedly infringing material
• Statement of good faith belief
• Statement under penalty of perjury that information is accurate
• Your physical or electronic signature

VSI may remove or disable allegedly infringing material upon receipt of a valid notice.

4. Unsolicited Ideas Policy

VSI does not accept unsolicited ideas, proposals, product suggestions, or business concepts. Any submissions sent to VSI without a signed written agreement shall be considered non-confidential and non-proprietary. VSI may use such submissions without restriction or compensation.

5. Software and License Rights

All software provided by VSI is licensed, not sold. Use of software is subject to applicable subscription agreements, enterprise agreements, click-through license terms, and marketplace agreements. Unauthorized copying, distribution, reverse engineering, or resale is prohibited.

6. Export Control Compliance

VSI products and services may be subject to U.S. export control laws. You agree not to export or re-export products in violation of U.S. law, provide services to sanctioned individuals or entities, or use services in prohibited jurisdictions. You represent that you are not located in, under control of, or a national of a sanctioned country.

7. Anti-Bribery and Compliance

Users agree to comply with all applicable laws, including the U.S. Foreign Corrupt Practices Act (FCPA), anti-bribery laws, and trade sanctions regulations. Use of VSI services for unlawful or corrupt activities is strictly prohibited.

8. Security Disclosure

If you discover a potential security vulnerability, please notify security@vsitechnologies.com. You agree not to publicly disclose vulnerabilities until VSI has had reasonable time to investigate and remediate.

9. Regulatory Compliance Disclaimer

VSI products may assist with compliance-related workflows; however, VSI does not guarantee regulatory compliance for any specific industry, jurisdiction, or standard unless expressly stated in a signed written agreement. You are responsible for ensuring your use of the Services complies with applicable laws.

Information provided on VSI websites or services is for general informational purposes only and does not constitute legal, financial, medical, or regulatory advice. You should consult qualified professionals before making decisions based on information obtained from VSI services.

11. Third-Party Content Disclaimer

12. Governing Law

These Legal Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be brought exclusively in the state or federal courts located in Wyoming.
