1. Ownership of Sites; Agreement to Terms

These Terms apply to:

• www.vsitechnologies.com, www.vsitechnologies.net
• All affiliated VSI Technologies websites
• All subdomains and branded product sites
• All VSI mobile applications
• All VSI software-as-a-service (SaaS) platforms
• All APIs and developer portals
• All digital storefronts and third-party marketplaces where VSI products or services are offered (including but not limited to AWS Marketplace, Azure Marketplace, Google Marketplace, app stores, reseller portals, and similar platforms)
• Any other online services owned, operated, or controlled by VSI Technologies Inc.

VSI reserves the right, at its sole discretion, to modify these Terms at any time. Updated versions will be posted on the applicable Site. Your continued use after changes are posted constitutes acceptance of the revised Terms.

2. Scope Across Platforms and Marketplaces

These Terms apply regardless of:

• How you access the Services (browser, API, integration, mobile device, embedded system, or marketplace)
• Whether you purchase directly from VSI or via a third-party marketplace
• Whether access is subscription-based, enterprise-licensed, reseller-provided, trial-based, or free

If you purchase through a third-party marketplace, additional marketplace terms may apply. In the event of a direct conflict between these Terms and mandatory marketplace terms, the marketplace terms shall govern only to the extent required.

3. Intellectual Property and Content

All text, graphics, software, documentation, interfaces, trademarks, logos, designs, data, source code, object code, and other materials ("Content") available through the Sites or Services are owned by or licensed to VSI and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, distribute, republish, display, transmit, modify, create derivative works from, reverse engineer, or exploit any Content. No rights are granted except the limited right to access and use the Services in accordance with these Terms. All rights not expressly granted are reserved by VSI.

You may use information made available for download (e.g., white papers, data sheets, documentation) solely for internal business or personal informational purposes and only if you do not remove proprietary notices or modify the materials.

4. Acceptable and Prohibited Use

You agree that you will not:

• Use automated systems (robots, spiders, scrapers, crawlers) to access or extract data
• Attempt unauthorized access to systems, servers, or accounts
• Probe, scan, or test vulnerabilities
• Reverse engineer, decompile, or attempt to derive source code
• Interfere with the proper functioning of the Services
• Circumvent security measures or usage limits
• Impersonate another person or entity
• Use the Services for unlawful, fraudulent, or infringing purposes

VSI reserves the right to restrict or terminate access for violations.

5. Accounts and Security

Certain features may require account registration. You are responsible for:

• Maintaining confidentiality of login credentials
• All activities under your account
• Promptly notifying VSI of unauthorized use

VSI is not liable for losses arising from failure to safeguard account credentials.

6. Purchases; Subscriptions; Enterprise Agreements

Products and services may be offered through:

• Direct agreements with VSI
• Online subscription purchases
• Enterprise contracts
• Reseller agreements
• Third-party marketplaces

All purchases are subject to applicable order forms, subscription agreements, click-through terms, or marketplace terms. VSI may change pricing, product features, or availability at any time without notice unless otherwise restricted by written agreement. VSI's obligations regarding products and services are governed solely by the agreements under which they are provided.

7. Third-Party Platforms and Integrations

The Services may integrate with or be distributed through third-party platforms. VSI is not responsible for:

• Third-party platform policies
• Third-party infrastructure failures
• Third-party availability or service disruptions

Your relationship with any third-party marketplace provider is separate from your relationship with VSI.

8. Privacy

Your use of the Services is subject to VSI's Privacy Policy, which is incorporated by reference. You acknowledge that internet communications are not fully secure and that transmissions may be intercepted.

9. Disclaimers

THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY.

VSI DOES NOT WARRANT THAT SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT SYSTEMS WILL BE SECURE OR FREE OF VIRUSES. YOUR USE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VSI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

VSI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO VSI IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions may not allow certain limitations; liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless VSI and its officers, directors, employees, affiliates, and agents from any claims, damages, liabilities, losses, or expenses (including attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of third-party rights

12. Termination

VSI may suspend or terminate access:

• For violation of these Terms
• For non-payment
• For security concerns
• For discontinuation of services
• At VSI's discretion where legally permitted

Termination does not limit VSI's other legal remedies.

13. Governing Law; Venue; Dispute Resolution

These Terms and any dispute arising from them shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles. You agree that:

• Any legal action shall be brought exclusively in the state or federal courts located in the State of Wyoming
• You consent to personal jurisdiction and venue in Wyoming courts
• Any claim must be brought within one (1) year after the cause of action arises

Nothing prevents VSI from seeking injunctive or equitable relief in any jurisdiction to protect intellectual property or confidential information.

14. Export Compliance

You agree to comply with all applicable U.S. export control laws and regulations. You may not export or re-export Services in violation of U.S. law.

15. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and VSI regarding your use of the Sites and Services and supersede all prior agreements. Failure to enforce any provision shall not constitute a waiver.

17. Feedback

Any feedback, suggestions, or ideas submitted to VSI are non-confidential and may be used without restriction or compensation.
