1. Acceptance of these Terms

By accessing the Site, creating an account, or placing an order, you agree to these Terms, our Privacy Policy, and any additional policies referenced here. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from the Site. By ordering, you represent that the information you provide is accurate and that you are authorized to use the payment method presented.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are associated with fraud.

4. Products, pricing, and order acceptance

We sell genuine Apple products. We make reasonable efforts to display products, descriptions, and prices accurately, but errors can occur. Prices are in U.S. dollars and may change at any time. Your receipt of an order confirmation does not constitute our acceptance of your order; we may accept, decline, limit, or cancel any order, and may require additional verification, before shipment. If we cancel an order after you have been charged, we will issue a refund.

5. Payment

You authorize us and our payment processors to charge your selected payment method for the total order amount, including applicable taxes and shipping. You represent that you are authorized to use the payment method provided.

6. Shipping, returns, and refunds

Shipping timeframes and costs are described in our Shipping Policy. Returns, exchanges, and refunds are governed by our Refund Policy. Both are incorporated into these Terms.

7. Intellectual property

The Site and its content, including text, graphics, logos, and the VSI Technologies, Inc. name and marks, are owned by VSI or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or create derivative works without our prior written permission.

Apple, the Apple logo, iPhone, iPad, Mac, MacBook, Apple Watch, AirPods, and other Apple product names are trademarks of Apple Inc., registered in the U.S. and other countries. VSI Apple Marketplace is an Apple Authorized Reseller and is not Apple Inc. Use of Apple trademarks is for identification of genuine Apple products only.

8. Acceptable use

You agree not to use the Site to violate any law; to infringe others’ rights; to transmit malware or attempt to gain unauthorized access; to scrape, harvest, or resell data or content without permission; or to interfere with the operation or security of the Site.

9. Third-party links and services

The Site may link to third-party websites or services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk.

10. Disclaimer of warranties

Except for warranties that cannot be excluded by law, the Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Product warranties, if any, are provided by the applicable manufacturer.

11. Limitation of liability

To the fullest extent permitted by law, VSI and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Site or any product purchased. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless VSI from any claims, damages, and expenses arising out of your misuse of the Site or violation of these Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing any claim, you agree to first contact us to attempt to resolve the matter informally. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, unless a separate binding arbitration agreement applies.

14. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, and the “Last updated” date above will change. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
